Shuffle Terms of Service

1. Shuffle.com

Shuffle.com the “Website” is owned and operated by Natural Nine B.V. “Shuffle”, “we”, “us” or “our”, a company with its registered office at Korporaalweg 10, Willemstad, Curaçao and registered with the Commercial Register of the Chamber of Commerce and Industry in Curaçao under registration number 160998.

Shuffle is licensed by the Curaçao Gaming Control Board to offer games of chance under licence number OGL/2024/1337/0628.

2. General

2.1.

These Terms of Service apply to your access to and use of the Website and all related services the “Services”. They form a legally binding agreement between you and Shuffle. You should read these Terms of Service carefully and in full before using the Website or any Services.

By continuing to access or use the Website or the Services, you confirm that you accept and agree to be bound by these Terms of Service. If you do not agree with them, you must stop using the Website and the Services.

2.2.

We may amend these Terms of Service at any time. Where changes are material, we will take appropriate steps to bring them to your attention, for example by displaying a notice when you log in.

It remains your responsibility to review these Terms of Service regularly and to ensure that you agree with any updates. If you continue to use the Website or any Services after amendments have been made, you will be deemed to have accepted and agreed to those amendments, updates and/or modifications. If you do not agree with the changes, you must not continue using the Services.

2.3.

These Terms of Service may be made available in multiple languages. If there is any inconsistency between the English version and any version in another language, the English version will prevail.

2.4.

Certain games, lotteries or sports betting markets offered on the Website as part of the Services may be subject to separate rules. You should consult and comply with those rules when participating. If there is any conflict between such rules and these Terms of Service, these Terms of Service will take precedence.

2.5.

For clarity, nothing in these Terms of Service is intended to encourage participation in the Services. These Terms of Service do not constitute an offer or invitation by Shuffle, or by any of its employees or consultants, for any person to participate in the Services.

3. Shuffle Account registration

3.1.

To place bets through the Website, you must first create an account with Shuffle a “Shuffle Account”.

During registration, you will be required to provide your date of birth, a valid email address, and to choose a username and password for your Shuffle Account. You must provide all mandatory information requested in the registration form.

You are solely responsible for ensuring that all information submitted by you is true, accurate, complete and correct. We may reject a username if, in our opinion, it is offensive, inappropriate or otherwise unsuitable.

3.2.

You may not register or attempt to register a Shuffle Account if:

1. you are under 18 years of age or under the legal age of majority for gambling in the jurisdiction where you are located;
2. you reside in or are located in a jurisdiction where gambling or use of the Services is not permitted. It is your responsibility to ensure that your use of the Services is lawful; or
3. you provide false, misleading or incomplete information, or attempt to register a Shuffle Account through a third party.

You are not permitted to sell, transfer, purchase or otherwise acquire Shuffle Accounts from or to other Shuffle users.

3.3.

You are fully and solely responsible for keeping your login details and other sensitive information secure, including passwords, cryptocurrency wallets and related private keys.

We will not be liable for any loss or damage resulting from abuse or misuse of your Shuffle Account by third parties where such abuse or misuse arises from your disclosure of information, whether intentional, accidental, active or passive, to any third party.

3.4.

You may hold only one Shuffle Account.

If you attempt to open more than one Shuffle Account, any or all such accounts may be blocked, suspended or closed. Any funds credited to those accounts may be frozen and may be deducted.

If you become aware that you have opened more than one registered Shuffle Account, you must notify us immediately by email at support@shuffle.com.

3.5.

If, at any time after registering your Shuffle Account, you discover that any information connected with your account is incorrect or inaccurate, you must inform us as soon as possible by emailing support@shuffle.com.

4. Know-your-customer “KYC”

4.1.

We reserve the right, at any time, to request KYC documentation from you if we consider it necessary to verify your identity, location, age or any other relevant information.

We may restrict your access to some or all of the Services, or restrict payments or withdrawals, until your identity has been verified to our satisfaction, at our sole discretion.

4.2.

We reserve the right to disclose your information to third parties where appropriate in order to comply with legal process, or where otherwise permitted under our Privacy Policy.

By using any Service, you acknowledge and consent to the possibility of such disclosure. Please refer to Shuffle’s AML Policy for further information.

5. Conditions of use

5.1.

As a condition of using the Services, you represent, warrant, covenant and agree that:

1. you are at least the older of:
   i. 18 years of age; and
   ii. the minimum legal age required under any laws applicable to your use of the Website and Services;
2. you have full legal capacity to enter into a binding agreement with us and are not subject to any form of limited legal capacity;
3. you use the Services entirely at your own choice, discretion and risk;
4. you understand that using the Website and Services involves the risk of losing funds, and you agree that we are not responsible to you for any such loss;
5. you acknowledge that funds in your Shuffle Account are consumed immediately when games are played and that we do not provide refunds;
6. you understand and accept that the market value of cryptocurrencies may fluctuate significantly;
7. you have not been diagnosed or classified as a compulsive gambler or problem gambler;
8. you are not currently self-excluded from any gambling website or gambling premises, and you will notify us immediately if you enter into a self-exclusion arrangement with any gambling provider;
9. you access the Website only from jurisdictions where doing so is legal, and you will not use the Services while located in any jurisdiction that prohibits placing and/or accepting bets online, playing casino or live games, or otherwise prohibits access to or use of the Services;
10. all information you provide to us during the period in which these Terms of Service are effective is true, accurate and complete, and you will notify us immediately of any changes;
11. you participate in Shuffle games only in your personal and non-professional capacity, and only for recreational and entertainment purposes;
12. you participate in Shuffle games on your own behalf and not on behalf of any other person;
13. you will not use or access the Website or Services for any purpose that is illegal under laws applicable to you or prohibited by, or in breach of, these Terms of Service;
14. you will not collude with or assist, or attempt to collude with or assist, any third party, and you will not use any device, robot, spider, algorithm, software, routine or similar method to defraud us or interfere with the operation or performance of the Website or Services;
15. you will not use the Website or Services in a way that interferes, or may interfere, with other users, and you will not attempt to gain an unfair advantage over other users, whether or not specifically prohibited by applicable rules;
16. you will not distribute or publish information that is unlawful, harassing, abusive, threatening, libellous, defamatory, obscene, indecent, inflammatory, racially or ethnically objectionable, pornographic or profane, or any material that may constitute or encourage conduct that could be treated as a criminal offence or give rise to civil liability;
17. in connection with deposits to and withdrawals from your Shuffle Account, including cryptocurrencies and any other currencies that may be available from time to time, you will use only funds that have been lawfully obtained and that belong to you. You will not use funds derived from criminal, illegal or unauthorised activities;
18. you acknowledge that we may take measures to detect and prevent unauthorised or unlawful activity. Such measures may include, without limitation, analysis of device properties, geolocation checks, detection of IP masking and blockchain transaction analysis;
19. if you become aware of suspicious activity relating to any game on the Website, you will report it to us immediately by emailing support@shuffle.com;
20. you acknowledge that we may suspend, block or close a Shuffle Account and withhold funds where we consider it necessary to help prevent money laundering or other illegal activity;
21. you are fully and solely responsible for obtaining your own independent financial, accounting and tax advice, and for recording, reporting, paying and accounting to any relevant governmental or tax authority for any tax or levy payable on winnings or other amounts received through use of the Services;
22. you will keep your username, password and cryptocurrency wallet private keys confidential and take appropriate steps to prevent unauthorised access or use;
23. if your username or password is compromised in any way, you will immediately change your password and notify us;
24. you agree not to open more than one Shuffle Account;
25. you acknowledge that we may modify, suspend or withdraw any of the Services at any time without giving you prior notice; and
26. you acknowledge that we are not liable for outages, delays, slowness, capacity restrictions or other issues affecting telecommunications networks or internet services required for you to access and use the Services.

5.2.

We may close or suspend your Shuffle Account if you breach any of the representations, warranties or covenants set out above, or if we consider that such a breach has occurred or is likely to occur.

We may also close or suspend your Shuffle Account if requested to do so by the police, a regulatory authority or a court, or if we are unable to verify any KYC information provided by you.

6. No Shuffle warranties

6.1.

The Services are provided on an “as is” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, in connection with the Services.

In particular, we make no warranty or representation regarding the quality, suitability, completeness or accuracy of the Services. We do not warrant that any Service will be uninterrupted, timely, secure or error-free, or that any defects will be corrected.

Shuffle does not represent or warrant that:

1. the Website is or will be free from errors, bugs or other defects;
2. access to the Services is or will be continuous, uninterrupted, timely or secure;
3. information made available through, contained on, or used by the Website, including data feeds used for sports betting, is or will be accurate, reliable, complete or current;
4. the Website will be free from viruses or harmful materials; or
5. the Website will be suitable for any particular purpose you may have in mind when using it.

Information made available through, contained on, or used by the Website may be inaccurate, incomplete or otherwise unreliable for various reasons, including software bugs, data feed interruptions, platform or server downtime or other issues. Such matters may result in losses to you by affecting the operation of the Services or the settlement of Markets.

Links or frames connecting the Website to third-party websites are provided for convenience only. They do not mean that we endorse or approve those websites, their content or their operators.

6.2.

Shuffle may occasionally test new games or other features on the Website by making them available in beta testing form “Beta Features”.

If you use Beta Features, you do so on the understanding that:

1. such features may be especially unstable and may contain errors, bugs or other functional defects; and
2. Shuffle will not be liable for any losses arising from your use of such features.

Beta Features may be suspended, discontinued or modified at any time. Any winnings credited to your Shuffle Account that relate to a technical or human error involving a Beta Feature may be deducted at Shuffle’s sole discretion.

7. Prohibited uses

7.1.

You must not use the Website or any Services for any form of unlawful activity, including money laundering, terrorist financing or violations of trade sanctions.

7.2.

The Website and Services are not offered to persons or entities that are subject to sanctions or watchlists of the United States, the European Union or other global authorities.

By using the Website and Services, you represent and warrant that you are not subject to any such sanctions.

7.3.

Persons located in or resident in the following jurisdictions are not permitted to access the Website or use the Services:

Australia, the Cayman Islands, Curaçao, Germany, the Netherlands, Portugal, Singapore, Spain, Sweden, the United Kingdom, the United States of America, and any other location where use of the Services is not permitted under applicable laws or regulations, where provision of the Services would require licensing or registration, or which is embargoed by the United States of America, the European Union or the United Kingdom the “Prohibited Jurisdictions”.

These restrictions apply equally to residents and citizens of other jurisdictions while they are physically located in a Prohibited Jurisdiction.

7.4.

Any attempt to hide your true location by using a VPN, proxy or similar service, or by providing false or misleading information about your place of residence or location, will be treated as a breach of these Terms of Service.

8. Deposits

8.1.

You may participate in a Shuffle game only if your Shuffle Account contains sufficient funds for that participation.

8.2.

You must not deposit funds that come from criminal activity or any other unauthorised source.

8.3.

To deposit funds into your Shuffle Account, you may transfer funds from a cryptocurrency wallet controlled by you, or use any other payment method that may be available on the Website from time to time.

Deposits may only be made using your own funds.

8.4.

We are not responsible for any delay in deposits arising from or connected with blockchain transaction times, the use of specific payment methods or the acts or omissions of any third party.

8.5.

We reserve the right to apply additional procedures and methods to verify your identity when processing deposits into your Shuffle Account.

8.6.

Some payment methods may involve additional fees. Your bank or payment service provider may also charge additional fees for transfers or currency conversions.

8.7.

We may refuse to credit any deposit at our sole discretion.

If your Shuffle Account has been blocked or suspended, you must not attempt to deposit funds into it. If you do attempt to deposit funds while your Shuffle Account is blocked or suspended:

1. you acknowledge and accept the risk that those deposited funds may be permanently lost; and
2. if those funds are not lost, we will have the right to retain them.

9. Withdrawals

9.1.

Cryptocurrency withdrawals will be made to the cryptocurrency wallet address specified by you after you submit a valid withdrawal request.

9.2.

Withdrawals may be limited or restricted if we detect suspicious, unauthorised or unlawful activity connected with your Shuffle Account.

9.3.

If we mistakenly credit your Shuffle Account with winnings or any other amounts that do not belong to you, whether due to technical error, human error or any other reason, those amounts remain our property and may be deducted from your Shuffle Account.

If you become aware of an incorrect credit to your Shuffle Account, you must notify us immediately by emailing support@shuffle.com.

If you withdraw funds that do not belong to you before we become aware of the error, those incorrectly credited amounts will, without limiting any other remedies or legal actions available to us, constitute a debt owed by you to us.

9.4.

If your Shuffle Account has been closed, locked, blocked or excluded and you wish to recover funds held in it, you should contact Shuffle customer support at support@shuffle.com.

We reserve the right to refuse to reopen or unlock your Shuffle Account, or to refuse withdrawals from it, if we suspect that you are in breach of these Terms of Service or if we consider such refusal necessary for other reasons.

We may carry out additional KYC verification procedures and other checks in connection with any withdrawal.

10. Winnings and Bonuses

10.1.

All wagers and bets are placed in the specific digital asset or cryptocurrency identified for the relevant transaction. Any fiat currency values, including USD values, are provided for indication and reference only.

10.2.

Winnings will be paid in the same asset or currency that was used to place the relevant bet or wager for that game.

10.3.

We may, from time to time, offer bonuses and rewards, including free spins, cashback, free bets, extra money or wager assets for use in games “Bonuses”.

Bonuses may be subject to their own terms and conditions, which you must accept in order to participate. We reserve the right to amend any promotion involving Bonuses or to discontinue or terminate such promotion at any time.

Eligibility to participate in any promotion and to receive Bonuses is determined by Shuffle at its sole discretion.

10.4.

We reserve the right to remove any Bonus from inactive accounts and from accounts that, in our sole discretion, we determine are intentionally exploiting a Bonus in bad faith.

10.5.

We reserve the right to cancel any Bonus that has not been claimed within the shorter of the applicable claiming period or 60 days. We may also cancel any Bonus at our sole discretion.

10.6.

Users are eligible to receive winnings and Bonuses only if they are not in breach of these Terms of Service.

11. Sports betting

11.1.

Shuffle may offer various sports betting markets from time to time “Markets”, including pre-match Markets, in-play Markets, single bets and multi bets.

The availability of particular sports, events or matches for betting may change without prior notice.

11.2.

Information relating to sports scores and analytics for Markets may be provided by third-party providers “Third Party Content”.

Shuffle is not responsible for Third Party Content, does not endorse it, and makes no representations or warranties in relation to any Third Party Content made available on the Website. You rely on Third Party Content at your own risk.

11.3.

Third-party providers may apply specific rules to the settlement of Markets. You should consult those rules when participating in such Markets.

11.4.

Markets will be settled only after official confirmation of the outcome, or otherwise at Shuffle’s sole discretion.

If the outcome of a Market cannot be officially verified, we reserve the right to void that Market. If coverage of a match is abandoned or interrupted but the match proceeds normally, the relevant Markets will be settled based on the officially reported results.

11.5.

If a match significantly departs from its generally accepted format or rules, Shuffle may void any relevant Market.

11.6.

If a match is not completed or not played, including due to disqualification, interruption, withdrawal, changes in draws or similar circumstances, all undecided Markets will be void.

However, if the outcome of a Market has already been determined, that Market will be settled accordingly.

11.7.

If the outcome of a Market was already known or determined before a bet was placed, that bet will be void. Any winnings may be withheld or deducted, and wagered amounts may be returned.

11.8.

Bets may be voided where prices are displayed or calculated incorrectly.

11.9.

Bets are void on postponed, cancelled or abandoned matches.

Matches whose start date is changed well in advance to accommodate live television coverage or to ease fixture congestion will not be treated as postponed.

An abandonment occurs where a match is stopped before the allocated match time is completed and is not played to conclusion on the same day.

Markets already determined at the time of abandonment, such as “First Team to Score”, will stand. A Market must be fully determined for bets on that Market to stand.

11.10.

If a Market is settled incorrectly, Shuffle reserves the right to correct the settlement at any time.

11.11.

For prop bets, the following terminology applies:

• “Player must play” applies to all pre-match player prop markets across NBA, NHL, NFL, CBB and CFB, and to all in-play player prop markets across MLB, NBA and NFL.
• “Player must start” applies to all pre-match MLB player prop markets, including pitcher and batter markets. Bench player markets are not available for pre-match betting.
• NHL goalie markets are subject to “Goalie Must Start”.

11.12.

The following rules apply to prop bets:

• Shuffle reserves the right to void bets placed on known outcomes or known results.
• Settlements are based on official league box score data from nfl.com, nba.com, mlb.com and nhl.com.
• Bets are void on postponed, cancelled or abandoned matches.

11.13.

“Cash Out” is a feature that may allow you to take a return on a bet before the bet has reached its final outcome.

Where Cash Out is available, you may select the Cash Out button next to your bet. The Cash Out amount will then be credited to your account.

Once you choose to Cash Out, your bet will be treated as concluded and will not be affected by the final result of the relevant event.

11.14.

The following additional rules apply to Cash Out:

1. Cash Out will not be available for certain Markets and events;
2. a time delay applies to every Cash Out;
3. Cash Out will not be available where the event and/or Market on which you placed a bet is suspended;
4. a Cash Out attempt may fail if a Market or event is suspended, or if odds change during the time delay applied after Cash Out is attempted;
5. where Cash Out is available on a pre-match event, if we do not cover the event live, Cash Out will become unavailable once the event starts;
6. your Cash Out value will vary depending on how your selection is performing and may be higher or lower than your original stake;
7. Shuffle reserves the right to reverse the settlement of a Cash Out on any bet that has been settled in error;
8. Shuffle is not responsible if Cash Out is unavailable due to technical issues. Bets will be settled as normal based on the final result; and
9. Shuffle reserves the right to remove a customer’s ability to use Cash Out, or to nullify any use of Cash Out, in the event of misuse or any other breach of these Terms of Service.

12. Breach

12.1.

Without limiting any other rights available to us, if you breach any provision of these Terms of Service, whether in whole or in part, we reserve the right to take any action we consider appropriate.

Such action may include closing or suspending your Shuffle Account, deducting funds from your account, terminating our relationship with you under these Terms of Service or any other agreement, and/or taking legal action against you.

12.2.

You agree to fully indemnify, defend and hold harmless Shuffle and its shareholders, directors, employees and agents from and against all costs, expenses, losses, damages, claims, demands and liabilities, including legal fees and other charges, incurred or suffered by them as a result of or in connection with:

1. your breach of any part of these Terms of Service;
2. your violation of any law or any third-party rights; or
3. your use of the Services.

13. Limitation of liability

13.1.

Under no circumstances will we be liable for any claims, proceedings, liabilities, costs, losses or special, incidental, direct, indirect or consequential damages arising from the use or misuse of the Services.

This includes, without limitation, damages for loss of business profits, business interruption, loss of business information or any other financial loss.

This limitation applies:

1. whether the alleged liability is based on contract, tort, strict liability, statutory liability or any other legal basis;
2. even where the alleged liability arises from our own negligence; and
3. even if we have been informed of the possibility of such liability.

13.2.

The limitations of liability contained in these Terms of Service apply to the maximum extent permitted by applicable law.

14. Intellectual property

14.1.

We and our licensors exclusively own all rights in and to the Services and their related code, structure and organisation, including copyright, trade secrets, intellectual property rights and other rights.

To the extent permitted by applicable law, you may not:

1. copy, distribute, publish, reverse engineer, decompile, disassemble, modify or translate the Website; or
2. use any Service in a way that is prohibited by applicable laws or regulations.

Each of the above is an “Unauthorised Use”.

We reserve all rights, whether implied or otherwise, that are not expressly granted to you under these Terms of Service, and we retain all rights, title and interest in and to the Services.

You agree that you will be solely liable for any damages, costs or expenses arising from or connected with any Unauthorised Use committed by you.

You must notify us immediately if you become aware of any Unauthorised Use by any person and must provide reasonable assistance in relation to any investigation we conduct based on the information you provide.

14.2.

The term “Shuffle”, our domain names and all other trademarks and service marks used by us as part of the Services the “Trademarks” are owned exclusively by us.

All content on the Website, including images, pictures, graphics, photographs, animations, videos, music, audio and text the “Site Contents”, belongs to us and is protected by copyright, intellectual property and/or other rights.

By using the Services, you acknowledge that you do not obtain any rights in the Site Contents, the Trademarks or any part of them.

You may not use the Site Contents or Trademarks under any circumstances without our prior written consent. You also agree not to do anything that would, or would be reasonably likely to, damage or potentially damage our rights, including our intellectual property rights.

15. Complaints

If you wish to submit a complaint regarding the Services, you may contact our customer support team by emailing support@shuffle.com.

16. Responsible Gaming

You may choose different options to limit your gambling, including self-exclusion, account closure, responsible wager limits and/or loss limits.

17. Governing law and jurisdiction

17.1.

These Terms of Service are governed by and will be interpreted in accordance with the laws of Curaçao.

17.2.

The courts of Curaçao will have non-exclusive jurisdiction to resolve any dispute arising from or connected with these Terms of Service.

This includes disputes relating to the existence, validity or termination of these Terms of Service, the consequences of their nullity, and any non-contractual obligation arising out of or in connection with them.

17.3.

You must bring any legal claim under these Terms of Service only in your individual capacity. You may not bring a claim as a claimant or member of any purported class action, collective action, private attorney general action or other representative proceeding.

Where applicable, you agree to waive the right to demand a jury trial.

18. Severability

If any provision of these Terms of Service is or becomes illegal, invalid or unenforceable in any jurisdiction, this will not affect the legality, validity or enforceability of any other provision in that jurisdiction.

It will also not affect the legality, validity or enforceability of that provision or any other provision in any other jurisdiction.

19. Assignment

We may assign our rights under these Terms of Service, in whole or in part, at any time and without notice to you.

You may not assign any of your rights or obligations under these Terms of Service.

20. Miscellaneous

20.1.

No waiver by us of any breach of any provision of these Terms of Service will be interpreted as a waiver of any later breach of the same provision or any breach of another provision.

20.2.

Nothing in these Terms of Service creates or grants any rights or benefits to any third party.

20.3.

Nothing in these Terms of Service creates, or will be deemed to create, a partnership, agency relationship, trust arrangement, fiduciary relationship or joint venture between you and us.

20.4.

Any communications with us concerning use of the Services will be retained for a period of six years.

20.5.

These Terms of Service constitute the entire understanding and agreement between you and Shuffle regarding the Services and replace any previous agreement, understanding or arrangement between you and us.
